These Terms & Conditions (“Terms”) form a binding agreement between you and Workmate Labs, Inc. (“Workmate”, “we”, “us”) governing your access to and use of our website, applications, and services (collectively, the “Services”).

By creating an account or using the Services, you agree to these Terms. If you are using the Services on behalf of an organization, you represent that you have authority to bind that organization.

You must provide accurate information when creating an account and keep your credentials secure. You are responsible for all activity that occurs under your account. Notify us promptly of any unauthorized use.

You agree not to misuse the Services. This includes not attempting to disrupt or compromise the Services, not reverse engineering except as permitted by law, not using the Services to violate any law or third-party rights, and not configuring agents to perform unlawful, harmful, or abusive actions.

You are responsible for the agents you build and the actions they take against systems you connect.

Paid plans are billed in advance on a recurring basis according to the plan you select. Fees are non-refundable except where required by law. We may change pricing with reasonable notice; changes take effect at your next billing cycle.

If a payment fails or is overdue, we may suspend or limit access to the Services until amounts are paid.

The Services, including all software, designs, and content provided by Workmate, are owned by Workmate and protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable right to use the Services in accordance with these Terms.

You retain ownership of the content and configurations you submit. You grant us the rights necessary to operate and provide the Services to you.

The Services may interoperate with third-party products. Your use of those products is governed by their own terms, and we are not responsible for them. Connecting an integration authorizes us to exchange data with it on your behalf.

You may stop using the Services at any time. We may suspend or terminate your access if you breach these Terms, fail to pay, or use the Services in a way that risks harm to Workmate or others. Upon termination, your right to use the Services ceases, and we may delete your data after a reasonable retention period.

The Services are provided “as is” and “as available” without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Services will be uninterrupted, error-free, or secure.

To the maximum extent permitted by law, Workmate will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits or data. Our total liability for any claim arising out of the Services will not exceed the amounts you paid us in the twelve months before the event giving rise to the claim.

You agree to indemnify and hold Workmate harmless from claims, damages, and expenses arising out of your use of the Services, your content, or your violation of these Terms or applicable law.

These Terms are governed by the laws applicable at our principal place of business, without regard to conflict-of-law rules. Disputes will be resolved in the courts located there, unless otherwise required by applicable law.

We may update these Terms from time to time. When changes are material, we will update the effective date above and notify you where appropriate. Continued use of the Services after changes take effect constitutes acceptance.
